By accessing or using the website at https://aiondata.io and any products or services provided by AIONDATA.IO ("AIONDATA," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of Services

AIONDATA provides AI-powered enterprise software solutions including but not limited to:

  • Lexicon (Data Intelligence): Conversational analytics and data intelligence platform.
  • Agentic Studio: Intelligent document processing and automation.
  • SynergyOS (Enterprise Platform): Modular enterprise resource planning platform.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information.
  • You are responsible for all activities under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of applicable laws.
  • Attempt to gain unauthorized access to our systems or networks.
  • Interfere with or disrupt the integrity or performance of our services.
  • Upload malicious code, viruses, or any harmful content.
  • Reverse engineer, decompile, or disassemble our software.
  • Use our services to send unsolicited communications (spam).
  • Scrape, crawl, or harvest data from our website without written permission.

5. Intellectual Property

All content, software, trademarks, logos, and intellectual property on our website and in our products are owned by or licensed to AIONDATA.IO. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

You retain ownership of any data you upload or process through our services. We do not claim any intellectual property rights over your data.

6. Data Processing

Our handling of personal data is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

For enterprise customers processing personal data through our platform, a separate Data Processing Agreement (DPA) may be executed upon request.

7. Service Level Agreements

Enterprise customers may be eligible for a Service Level Agreement (SLA) with specific uptime commitments, response times, and remediation procedures. SLA terms are negotiated separately and documented in your enterprise agreement.

8. Fees and Payment

  • Pricing is as described on our Pricing page or in your enterprise agreement.
  • All fees are exclusive of applicable taxes unless otherwise stated.
  • We reserve the right to change pricing with 30 days' advance notice.
  • Failure to pay may result in suspension or termination of services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIONDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless AIONDATA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Contra Costa County, California.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
